By accessing or using the Noby marketing website (heynoby.com), web application (app.heynoby.com), mobile applications, and Noby One hardware devices, you ("User", "you") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

If you do not agree to all provisions of these Terms, you must immediately cease accessing and using our products and services.

Noby is an intelligent personal companion and memory system comprising: - Noby Applications: Web, iOS, and Android applications for capturing, transcribing, reviewing, searching, and synchronizing conversational memories. - Noby One Wearable Device (LA367): A compact, wearable audio capture hardware accessory designed to be worn via lanyard or wristband. - AI Companion Services: Automated speech-to-text (STT), structured summaries, key insight extraction, task tracking, and contextual conversation assistance.

To utilize certain features of Noby, you may be required to register an account (via Google Sign-In or email verification). - You are responsible for safeguarding your login credentials and end-to-end encryption recovery phrases. - You must immediately notify our support team at support@heynoby.com if you suspect any unauthorized access or security breach involving your account.

CRITICAL LEGAL NOTICE: Noby products and services are intended exclusively for personal productivity, memory preservation, and assistive note-taking. Noby must never be used for covert surveillance, unauthorized wiretapping, or unlawful eavesdropping.

• Consent Requirement: You have the exclusive and non-delegable legal obligation to comply with all applicable local, state, and international wiretapping and recording consent laws (including one-party, two-party, and all-party consent jurisdictions). You must inform and obtain all legally required consents from conversation participants prior to capturing audio.
• Indemnification: You agree to defend, indemnify, and hold harmless Noby, its operators, directors, and developers from and against any third-party claims, liabilities, damages, or penalties arising out of your unlawful or non-consensual recording activities.

• Your Content Remains Yours: You retain full ownership, copyright, and intellectual property rights in and to all audio recordings, generated transcripts, memory summaries, and notes created through Noby. We claim no ownership over your recordings or conversational records.
• Noby Intellectual Property: The Noby brand, logos, source code, user interfaces, industrial design, firmware, and documentation are the exclusive intellectual property of Noby and are protected by international copyright, trademark, and trade secret laws.

Noby transcription and summarization features utilize advanced speech recognition and natural language processing models. - You acknowledge that machine learning outputs may occasionally contain errors, misinterpretations, or hallucinated details depending on audio fidelity, speaker distance, and acoustic conditions. - Noby outputs are assistive tools and do not constitute certified legal, medical, or financial advice. You are responsible for verifying critical information before taking reliance actions.

You agree not to use the Service to: - Violate the privacy or statutory rights of others, engage in unlawful surveillance or harassment; - Reverse engineer, decompile, or disassemble any part of Noby software or hardware; - Interfere with or disrupt server integrity, bypass rate limits, or perform automated denial-of-service attacks; - Resell or sublicense access to Noby services without prior written consent.

The Noby One (LA367) wearable hardware capsule is backed by a 12-month limited manufacturer warranty against defects in materials and workmanship under standard consumer use. This warranty excludes normal wear and tear, cosmetic degradation, liquid immersion, or unauthorized modifications.

To the maximum extent permitted by applicable law, Noby and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data corruption, or business interruption) arising out of or related to your use of or inability to use the Service.

These Terms shall be governed by and construed in accordance with the laws of the European Union and applicable national statutory provisions, without regard to conflict of law principles. The parties shall seek to resolve disputes through good-faith amicable negotiation.
